OtterLife User Agreement

Effective date: November 17, 2023 Updated: January 20, 2026 The “OtterLife App Software License and Service Agreement” (hereinafter referred to as “this Agreement”) is an agreement between you and the operator of the OtterLife App regarding your use of the OtterLife App products and services. Before you begin using the OtterLife App products and services, please read this Agreement and the OtterLife App Operator’s published “OtterLife App Privacy Policy” carefully and fully understand the content of each clause, especially those involving limitations or exemptions of liability. Provisions that limit or exempt liability will be highlighted in bold type to draw your attention; please read them carefully. You confirm that you possess the civil capacity required for your actions under the laws of the People’s Republic of China and that you are capable of independently assuming responsibility for all actions relating to your use of the OtterLife App products and services. OtterLife App hereby specifically reminds you that minors under the age of eighteen should not use the online services provided by the OtterLife App software. If you disagree with any clause of this Agreement or cannot accurately understand any clause, do not access and/or use the OtterLife App application or its related services. Your actions of downloading, installing, obtaining an OtterLife App account, or otherwise using the OtterLife App products and services will be deemed as your full understanding of and agreement to enter into this Agreement, and you undertake, as a party to the Agreement, to be bound by its terms. We will respond to you as soon as possible.

1. Scope of the Agreement

1.1 This Agreement stipulates the rights and obligations between Shanghai Ruoyou Network Technology Co., Ltd. and you regarding the use of OtterLife App products and services. 1.2 OtterLife App Operator: refers to Shanghai Ruoyou Network Technology Co., Ltd. However, for certain service items involved in this Agreement or that the OtterLife App product may involve in the future, affiliated enterprises of the OtterLife App Operator may also provide products and services to you and thereby establish rights and obligations with you. In this Agreement, affiliated enterprises refer to any enterprise that controls a party, is controlled by a party, or is under common control with a party. “Control” means directly or indirectly owning more than fifty percent (50%) of the equity, voting rights, or management rights of that enterprise. 1.3 User: also referred to as “you,” means anyone who legally obtains and uses the OtterLife App products, including natural persons and organizations. 1.4 OtterLife App product: also referred to as OtterLife App or OtterLife App software, means the mobile client application named OtterLife App and its corresponding mobile website lawfully owned and operated by the OtterLife App Operator. Client applications are provided in software form and include, but are not limited to, versions for iOS, Android, etc. You must choose the software version that matches the terminal device on which it is installed. 1.5 OtterLife App services: refers to the various operational services related to the OtterLife App product provided to you by the OtterLife App Operator. 1.6 The content of this Agreement also includes business rules, related agreements, and their revised versions that the OtterLife App Operator and its affiliates may continuously publish regarding the OtterLife App products and services. If adjustments to related content have a significant impact on your rights or involve changes to your rights, we will inform you and provide services after obtaining your consent. 1.7 The OtterLife App Operator has the right to entrust its affiliates or other third-party companies to operate, manage, and perform the services or the rights and obligations under this Agreement, and the OtterLife App Operator does not need to obtain separate authorization from you for this (if it involves significant changes or reductions to your rights, the OtterLife App Operator will obtain your separate consent). The OtterLife App Operator will strive to avoid causing inconvenience to OtterLife App product services due to such entrustment or changes. At the same time, the OtterLife App Operator promises to take strict measures to protect the security of your data in the OtterLife App in accordance with laws and regulations.

2. Products and Services

2.1 Please pay attention to the source of installation packages; you should download OtterLife App products to terminal devices that you legally own from legitimate channels. At the same time, we remind you: 2.1.1 The OtterLife App Operator grants you a personal, non-transferable, and non-exclusive license to use the OtterLife App products and services. You may install and use the OtterLife App products on your terminal device for non-commercial purposes. The OtterLife App Operator also reserves the right to revoke this authorization when necessary. Unless expressly authorized, you shall not adapt, copy, or commercialize the OtterLife App products in any form. 2.1.2 If you obtain the OtterLife App product or an installation package named the same as the OtterLife App from a third party not authorized by the OtterLife App Operator, the OtterLife App Operator cannot guarantee that such product will function normally, and the OtterLife App Operator will not be responsible for any losses caused thereby. 2.2 Once you open and enter the OtterLife App product on your terminal device, you will be deemed to be using the OtterLife App products and services. To fully realize all functions of the OtterLife App products and services, you may need to connect your terminal device to the internet. 2.3 In order to ensure the security and functional consistency of the OtterLife App products and services, the OtterLife App Operator has the right to update the software or change or restrict certain functional effects of the software without special notice to you. 2.4 After a new version of the OtterLife App software is released, older versions of the software may become unusable. The OtterLife App Operator does not guarantee continued availability of old versions; please check for and download the latest version at any time. 2.5 You understand and agree that, in order to provide effective services, the OtterLife App will utilize resources of your terminal device such as the processor and bandwidth. The use of the OtterLife App may generate data traffic charges; you should consult your carrier for related fees and bear such costs yourself. 2.6 During account registration or use of this service, you need to provide some necessary information, for example: to provide account registration services or to identify you, you need to fill in your phone number; some location features require your consent to use your geographic location information; the address book matching function requires your authorization to access the phone address book, etc. If national laws, regulations, or policies have special requirements that you provide real identity information, then if you refuse to provide such information or provide incomplete information, you will not be able to use the corresponding functions or will be restricted in use. 2.7 The OtterLife App Operator will take appropriate security measures and technical means to protect the security of your personal information and other data. The OtterLife App Operator will store personal information and related data in strict accordance with legal provisions and for the periods prescribed for different levels of personal information. 2.8 When using this software and services, you must bear the following risks that are beyond the OtterLife App Operator’s control, including but not limited to: 2.8.1 Risks of personal information loss, leakage, etc., caused by force majeure; 2.8.2 You must select the software version that matches your terminal device; otherwise, you will be solely responsible for any problems or damages caused by incompatibility between the software and the device model; 2.8.3 When you use this software to access third-party websites, you will bear the risks that may arise from those third-party websites and their content; 2.8.4 Risks and liabilities that may arise from your published content being reposted or shared by others; 2.8.5 Risks such as login failure, incomplete data synchronization, and slow page loading caused by unstable wireless signal or limited wireless bandwidth. 2.9 You understand and agree that the OtterLife App Operator will make commercially reasonable efforts to ensure the security of your data stored in this software and services; however, the OtterLife App Operator cannot fully guarantee such security, including but not limited to the following situations: 2.9.1 The OtterLife App Operator is not responsible for the deletion or failure to store your data in this software and services; 2.9.2 The OtterLife App will store and protect data generated during your use of the OtterLife App services in accordance with applicable laws and regulations; if you stop using this software and services or the services are terminated or canceled, the OtterLife App Operator may permanently delete your data from its servers after any retention period (if any) expires. After service stoppage, termination, or cancellation, the OtterLife App Operator has no obligation to return data to you. 2.10 Please do not disclose your or others’ various property account details, bank card, credit card, third-party payment account information and corresponding passwords, etc., while using OtterLife App products and services. Any loss resulting from such disclosure shall be borne by you. 2.11 You understand and agree that the OtterLife App Operator has the right to use this software for commercial purposes, including but not limited to developing and using parts of the software’s services to provide promotion services to third parties. During promotion, the OtterLife App Operator will strictly protect your personal information in accordance with relevant laws and the OtterLife App Operator’s standards for the OtterLife App. At the same time, you may choose to block or refuse to receive relevant promotional information according to system settings.

3. Accounts and Your Conduct

3.1 The OtterLife App provides you with a registration channel. You have the right to choose legitimate and compliant character combinations as your account identifier and to set a password that meets security requirements. The account and password you set are the credentials you use to log into the OtterLife App product and to use the product or receive services as a registered user. Ownership of the OtterLife App account belongs to the OtterLife App Operator. After you complete the registration procedures, you only obtain the right to use the account, and this right belongs solely to the initial registrant. 3.2 Please be fully aware that you must be responsible for all actions under your registered account, including any content posted and any consequences arising therefrom. The OtterLife App Operator, as a service provider, will perform review and basic protection obligations in accordance with relevant regulations, but due to various unpredictable and uncontrollable factors, we specifically remind you that when using the OtterLife App products and services, you should judge content yourself and bear all risks arising from using such content, including reliance on the correctness, completeness, or usefulness of the content. The OtterLife App Operator will not be liable for any loss or damage caused by the aforementioned risks. 3.3 Your registered OtterLife App account is for your personal use only and may not be gifted, borrowed, rented, or sold. Otherwise, the OtterLife App Operator has the right to suspend or terminate services to that account and to cancel the account; any losses resulting from this, including interruption of your communications and deletion of your data and information, shall be borne by you. 3.4 You are responsible for properly safeguarding your registered account information and password security. You will be legally responsible for actions taken under your registered account and password, including data modifications, comments, and other operations on the OtterLife App product. If you discover that someone else is using your account without authorization or if other security vulnerabilities occur under your account, you may immediately notify the OtterLife App Operator. 3.5 In addition to registering an OtterLife App account yourself, you may choose to use other accounts you legally own to register and log in to the OtterLife App product through the OtterLife App account association system (support depends on the login settings at that time). If you register using an existing account as described above, the account generated in the OtterLife App is subject to the same account-related provisions of this Agreement. 3.6 If you do not actually use your registered OtterLife App account for 90 consecutive days after registration, the OtterLife App Operator has the right to reclaim that account to avoid resource waste. 3.7 When using the OtterLife App products and services, you must comply with the laws of the People’s Republic of China. You may not use the OtterLife App Operator’s products and services to engage in activities that violate relevant laws, regulations, or policies, and you must comply with the rules and norms published or updated within the OtterLife App product. You may not impersonate others in your avatar, real name, nickname, website, personal description, or other personal information, whether or not you publish information. If violations occur, the OtterLife App Operator reserves the right to reclaim the related account. 3.8 Content you post on the OtterLife App only represents your personal positions and views and does not represent the positions or views of the OtterLife App Operator. As the publisher of content, you must be responsible for the content you publish, and you shall bear all legal and joint liabilities for any disputes arising from such published content. 3.9 You shall not use any plugins, “cheats,” or third-party tools that are unauthorized by the OtterLife App Operator to interfere with, damage, modify, or otherwise affect the normal operation of the OtterLife App products and services. 3.10 You shall not engage in any activities that endanger computer network security using or targeting the OtterLife App products, including but not limited to: using OtterLife App related data without authorization or accessing OtterLife App servers/accounts without permission; attempting to probe, scan, or test weaknesses in the OtterLife App system or network or otherwise engage in behavior that damages network security; attempting to interfere with or disrupt the normal operation of the OtterLife App system or website, intentionally transmitting malware or viruses, or otherwise disrupting normal network information services; forging TCP/IP packet headers or parts thereof. 3.11 Without the OtterLife App Operator’s permission, you may not carry out any commercial activities in the OtterLife App product such as posting advertisements or selling goods. 3.12 The OtterLife App Operator is committed to creating a civilized, rational, friendly, and high-quality platform atmosphere. While developing platform service functions, we will continuously strengthen information security management capabilities and earnestly fulfill social responsibilities. You must not use the OtterLife App Operator’s products and services to produce, copy, publish, or disseminate the following information (including but not limited to through posting comments, modifying nicknames, etc.): 3.12.1 Publish, transmit, disseminate, or store content prohibited by national laws and regulations: (1) content opposing the basic principles established by the Constitution; (2) content endangering national security, leaking state secrets, subverting state power, or harming national unity; (3) content damaging national honor and interests; (4) content inciting ethnic hatred or discrimination, or undermining ethnic unity; (5) content undermining national religious policies, or advocating cults and superstition; (6) content spreading rumors, disturbing social order, or undermining social stability; (7) content spreading obscenity, pornography, gambling, violence, homicide, terror, or instigating crime; (8) content insulting or defaming others, or infringing upon others’ lawful rights and interests; (9) content inciting illegal assemblies, associations, marches, demonstrations, or gatherings that disrupt social order; (10) activities in the name of illegal civil organizations; (11) other content prohibited by laws or administrative regulations. 3.12.2 Publish, transmit, disseminate, or store content that infringes upon others’ reputation, portrait rights, intellectual property rights, trade secrets, or other lawful rights and interests; 3.12.3 Publish content involving others’ privacy, personal information, or personal data without their consent or authorization; 3.12.4 Publish or transmit harassment, advertising, excessive marketing information, spam, or other similar information; 3.12.5 Other information that violates laws, regulations, policies, public order and good morals, social ethics, or interferes with the normal operation of the OtterLife App or infringes upon the lawful rights and interests of you, other users, or third parties. If you violate the above provisions, the OtterLife App Operator may, depending on the circumstances, take management measures such as refusing publication, deleting comments, temporarily prohibiting posting, or permanently closing the account. Content suspected of being illegal or criminal will be preserved on file, and relevant circumstances and information will be reported to government authorities as required. 3.13 The OtterLife App Operator will improve public reporting channels and welcomes your supervision and reporting of various illegal dissemination activities and harmful information, so as to jointly create a clean cyberspace.

4. Intellectual Property

4.1 The Operator of the OtterLife App is the owner of the intellectual property rights of the OtterLife App product. All copyrights, trademark rights, patent rights, trade secrets and other intellectual property rights in the OtterLife App, as well as all information content related to the OtterLife App (including but not limited to text, images, videos, audio, interface design, copyright framework, etc.), are protected by the laws and regulations of the People’s Republic of China and relevant international treaties, and the Operator of the OtterLife App enjoys the aforementioned intellectual property rights (except for rights that related rights holders shall enjoy according to law). 4.2 You shall ensure that any text, images, audio, video and other information you upload when using the OtterLife App products and services do not infringe any third party intellectual property rights. Otherwise, the Operator of the OtterLife App has the right to remove such infringing information and shall bear no liability in this regard. If the aforementioned third party asserts rights, you shall bear the responsibility. 4.3 All content you upload or post while using the OtterLife App products and services will not, by virtue of such uploading or posting, result in any transfer of intellectual property rights, portrait rights or other rights. At the same time, you understand and agree that when you publish or upload related text, images, audio, video and other content to the OtterLife App while using its products and services, you agree to grant the Operator of the OtterLife App a free, non-exclusive, perpetual and transferable license to such content; the OtterLife App may use such content for display, promotion and other uses permitted by law. The Operator of the OtterLife App will use the above content only within the scope permitted by law and will require its partners (if any) to strictly comply with such applicable scope limitations. Meanwhile, you agree to authorize the OtterLife App, as appropriate, to take rights-protection actions concerning any entity that infringes your lawful rights, including but not limited to sending rights-protection letters, initiating litigation, or applying for arbitration, and such measures shall apply to any legally protected content you publish in the OtterLife App; at the same time, you may authorize a third party to protect your rights on your behalf and may terminate your authorization to the OtterLife App at any time. 4.4 The OtterLife App products and services may involve third-party intellectual property rights, and when such third parties impose requirements on your use of related intellectual property within the OtterLife App products and services, the Operator of the OtterLife App will notify you in an appropriate manner of such requirements, and you shall comply therewith. 4.5 Without the consent of the relevant rights holders, you shall not reverse engineer, disassemble, decompile or otherwise attempt to derive the source code or underlying ideas or algorithms of the related web pages, applications, software and other products involved in the OtterLife App products and services; nor shall you, for any commercial or non-commercial purpose, implement, exploit or transfer the aforementioned intellectual property rights by yourself or authorize any third party to do so. 4.6 The intellectual property rights in the content included in the OtterLife App products and services are protected by law. Without the written permission of the Operator of the OtterLife App, you or any relevant rights holder, no person may use such content in any form or create derivative works thereof.

5. Personal Information and Privacy Protection

5.1 Protecting your personal information is a basic principle of the Operator of the OtterLife App. The Operator of the OtterLife App will collect, use, store and share your personal information in accordance with this Agreement and the OtterLife App Privacy Policy (https://post.jellow.club/otterlife-privacy/). 5.2 Maintaining software security and normal operation is a shared responsibility between the Operator of the OtterLife App and you. The Operator of the OtterLife App will prudently take necessary measures in accordance with industry standards to protect your device information and data security; however, you should understand and acknowledge that the Operator cannot provide you with an absolute guarantee. While we and you jointly work to maintain the security of your personal information, you should also respect the lawful rights of others and must not infringe on others in any way. In particular, you should not create, publish, use or disseminate any malicious programs intended to steal other people’s accounts, personal information or property. 5.3 You understand and agree that, like most Internet software, the OtterLife App may be affected by multiple factors, including but not limited to actions by you and/or other users, network service quality, and social environment; it may also be subject to security issues such as illegal exploitation of information and materials by others; other software you download or websites you visit may contain viruses, trojans or other malicious programs that threaten the security of your terminal device information and data. Therefore, you should strengthen your awareness of information security and personal information protection, pay attention to verifying the source of information, and protect personal information and account passwords to avoid losses. We specifically remind you that under no circumstances should you trust online requests for loans, requests for passwords, or any other information involving property or personal identity information. Before providing personal information or performing property-related operations, verify the other party’s identity; the OtterLife App cannot and does not verify the identity of entities requesting information from you and will not be liable for losses arising therefrom. 5.4 The Operator of the OtterLife App will employ various security technologies and procedures and establish sound management systems to protect your personal information from unauthorized access, use or disclosure. 5.5 The Operator of the OtterLife App will not transfer or disclose your personal information to any unaffiliated third party, unless: (1) you have given explicit consent or based on your proactive choice; or (2) disclosure is required by laws and regulations: in cases of mandatory requirements by law, legal proceedings, litigation or government authorities. 5.6 According to laws and regulations, sharing or transferring personal information that has undergone de-identification processing, provided that the data recipient cannot restore and re-identify the personal information subject, does not constitute external sharing, transfer or public disclosure of personal information; storage and processing of such data will not require separate notification to you or obtaining your consent. 5.7 In the following circumstances, the Operator of the OtterLife App may use your personal information: (1) When conducting promotions or lotteries, the Operator of the OtterLife App may share your personal information with sponsors or partners; in such cases, the Operator of the OtterLife App will provide a prompt before sending your information, and you may terminate the transmission process by choosing not to participate in the promotion or lottery; (2) The Operator of the OtterLife App may cooperate with third parties to provide you with related online services; in such cases, the Operator of the OtterLife App will require such third parties to assume responsibilities equivalent to those of the Operator in protecting your privacy; (3) Provided that de-identification processing makes it impossible to identify the individual, the Operator of the OtterLife App may analyze your entire database and commercially utilize the database for purposes such as product improvement.

6. Service Changes, Interruptions and Termination

6.1 You understand and agree that the OtterLife App products and services provided by the Operator of the OtterLife App are offered based on the current state of technology and conditions. The Operator will use its best efforts to provide continuous and secure services; however, the Operator cannot always foresee and prevent technical and other risks, including but not limited to force majeure, viruses, trojans, hacker attacks, system instability, network environment issues, defects in third-party services, which may cause service interruptions, data loss and other losses and risks. The Operator of the OtterLife App shall not be liable to you or any third party for compensation for loss of your data caused by the aforementioned reasons. In the event of such circumstances, the Operator of the OtterLife App will, as soon as possible, notify affected users via web announcements, system notifications, private messages, SMS alerts or other reasonable methods. 6.2 You understand and agree that the Operator of the OtterLife App has the right, for the needs of overall service operation, to modify, interrupt, suspend or terminate services within the OtterLife App without prior notice to you, and shall not be liable to you or any third party for any compensation. The Operator will, to the extent possible, notify affected users in advance and will endeavor to protect the security and integrity of your personal data.

7. Legal Liability Statement

7.1 Due to objective circumstances and technical limitations, please understand: the Operator of the OtterLife App will strive to improve service capabilities to provide you with better service; if any program errors occur in the product, the Operator will correct such errors as soon as they are discovered, but the Operator cannot guarantee that the products and services will fully meet your usage requirements; nor can it guarantee that the products or services will be free from interference or free from any program errors. 7.2 For behavior that violates applicable laws, regulations or the provisions of this Agreement, the Operator of the OtterLife App will, based on legal provisions and the above rules, make reasonable judgments and take appropriate actions against illegal violators, and will retain relevant information and report to relevant authorities in accordance with laws and regulations. 7.3 The OtterLife App products may contain external internet content or service links that you have shared/uploaded or that the Operator of the OtterLife App has obtained through various lawful means. You may follow links within the OtterLife App to external webpages and obtain related content and services on those external pages. Services involved on external webpages may require you to accept separately formulated terms of use or other legal documents that constrain the relationship between you and that service provider; you should judge and choose accordingly. Regarding the rights and obligations you incur in those external services, unless otherwise agreed, the Operator of the OtterLife App shall not be responsible to you or any third party for the content or effects of those external services.

8. Breach Remedies

8.1 If you violate national laws or regulations or the provisions of this Agreement, or if you infringe the rights of others and thereby give rise to or cause any third party to make any claim or demand against the Operator of the OtterLife App (including but not limited to litigation fees, attorney fees, travel expenses, settlement amounts, fines or damages specified in effective legal instruments, software usage fees, etc.) that result in losses to the Operator of the OtterLife App, you shall compensate the Operator for such losses and eliminate the adverse effects. 8.2 You understand and agree that the OtterLife App has the right, based on reasonable judgment, to penalize behavior that violates applicable laws, regulations or the provisions of this Agreement, to take appropriate legal actions against any violator, and to retain relevant information and report to relevant authorities in accordance with laws and regulations; you shall bear the resulting liabilities. If the Operator of the OtterLife App discovers or receives reports or complaints alleging that you have violated the provisions of this Agreement, the Operator has the right to delete or block the relevant content alleged to be in violation of laws, regulations or this Agreement, and, depending on the seriousness of the conduct, to impose penalties on the violating account including but not limited to warnings, restrictions or prohibitions on use of part or all functions, account suspension up to cancellation, and to make public the handling results.

9. Other Terms

9.1 This Agreement may be amended due to changes in national policies, product conditions or the operational environment. The Operator of the OtterLife App has the right to change the terms of this Agreement when necessary and will publish the latest version of the Agreement terms on the relevant pages of the Operator and the OtterLife App product for your inspection. The Operator may also choose other appropriate means to notify you of the changes, such as notifications on related websites, pages or applications. If you do not accept the amended Agreement, you should stop using the OtterLife App products and services. If you have questions about the updated content, you may contact us through the contact information published in this Agreement, and we will respond to you as soon as possible. 9.2 The formation, performance, interpretation and resolution of disputes under this Agreement shall be governed by the laws of the People’s Republic of China. If any provision of this Agreement is wholly or partially invalid or unenforceable for any reason, such provision shall be reinterpreted to the greatest extent possible to reflect the original intent of this Agreement, and the other provisions of this Agreement shall remain in full force and effect. 9.3 The place of signing this Agreement is Yangpu District, Shanghai. If you have a dispute with the Operator of the OtterLife App arising from the products and services under this Agreement, you may first attempt to resolve it amicably with the Operator; if negotiation fails, both parties agree to submit the dispute to the people’s court with jurisdiction over the place of signing this Agreement. 9.4 For the avoidance of doubt, it is hereby stated that the titles of all clauses in this Agreement are for convenience of reading only, have no substantive meaning in themselves, and shall not be used as a basis for interpreting the meaning of this Agreement.
